Extend due date of AGM and Annual E-forms for Kerala Companies: ICSI

ICSI Request Ministry of Corporate Affairs to extend time for filing e-forms and to extend the time within which any Annual General Meeting shall be held by a period of three months to the companies whose registered office is situated in Kerala.

Subject: Request to allow extension of time for filing e-forms and providing exemption from holding Annual General Meetings under the Companies Act, 2013.

As you are kindly aware, under the provisions of Companies Act 2013, every company is required to hold an Annual General Meeting in each year within a period of six months from the date of closing of financial year, which in majority cases, falls in September, 2018.

Sir, we wish to draw your kind attention towards the recent havoc wreaked by incessant rains in the state of Kerala. Needless to say, the entire state. Its infrastructure and organizations and institutions have come to a standstill. The companies functioning and operating in the state too have been impacted to a large extent. Even though the rains have subsided, It is expected to take a lot of time to get back to normalcy.

Considering the above fact, we request you to have a lenient view towards the companies situated in Kerala and extend the time within which any Annual General Meeting shall be held by a period of three months to the companies whose registered office is situated in Kerala.

The above issues if taken into account shall provide much needed relief to these companies.
